GSK has agreed to acquire Rapt Therapeutics in a transaction valued at approximately USD 2.2 billion, securing rights to the biotech company’s experimental food allergy drug programme.
Under the terms of the agreement, GSK will pay USD 58 per share in cash to Rapt shareholders, representing an equity value of around USD 2.2 billion. The deal results in a net upfront investment of about USD 1.9 billion, after accounting for cash held by Rapt. The transaction is expected to close in the first quarter of 2026, subject to regulatory approvals and customary closing conditions.
The acquisition provides GSK with global rights to ozureprubart, a long-acting anti-IgE monoclonal antibody that is currently in Phase IIb clinical development for the prevention of food allergy reactions. The drug targets immunoglobulin E (IgE), which plays a central role in allergic responses.
Ozureprubart is being developed as a long-acting therapy with the aim of reducing dosing frequency compared to existing anti-IgE treatments, which typically require injections every two to four weeks.
As part of the agreement, GSK will assume responsibility for milestone and royalty payments related to the programme. The acquisition excludes Greater China, where rights to the asset are not included.
The deal adds a late-stage clinical asset to GSK’s pipeline and expands its presence in allergy and immunology.
