Novavax Licenses Matrix-M Vaccine Technology to Pfizer in Strategic Development Deal

Novavax has entered into a licensing agreement with Pfizer that allows the global pharmaceutical major to use Novavax’s Matrix-M adjuvant technology for the development of new vaccines, strengthening both companies’ vaccine development strategies.

Under the agreement, Pfizer will gain rights to use Matrix-M in its vaccine research and development programmes. The adjuvant is a core component of Novavax’s vaccine platform and is designed to enhance immune response, making it a key asset for next-generation vaccine development.

As part of the deal, Novavax will receive an upfront payment of USD 200 million, along with potential milestone payments of up to USD 200 million linked to development and progress of vaccines using the technology. The company is also eligible to receive royalties on future commercial sales of vaccines developed under the agreement.

The arrangement enables Pfizer to integrate an externally developed, validated adjuvant into its pipeline, potentially accelerating timelines and reducing early-stage development risk. For Novavax, the agreement provides non-dilutive funding and recurring revenue potential, while monetising its proprietary technology beyond its own product portfolio.

Novavax will continue to manufacture and supply Matrix-M for Pfizer’s vaccine programmes, while each company will remain responsible for its respective development, regulatory and commercial activities. The agreement does not involve the transfer of manufacturing facilities or vaccine assets.

The deal highlights a growing trend in the vaccine and biologics space, where large pharma companies are increasingly licensing platform technologies to strengthen pipelines and manage R&D risk, while smaller innovators generate value through strategic partnerships.

This collaboration positions Novavax as a technology licensing partner in the global vaccine ecosystem and supports Pfizer’s efforts to expand its vaccine development capabilities using proven adjuvant systems.
